Corporate Counsel The candidate will provide a wide range of legal services and advice to a multi-park theme park operator, with a primary focus on contractual, real estate, licensing, and operational issues. Draft, negotiate and track company contracts and related documents across a broad spectrum, including agreements covering vendors, suppliers and consultants, marketing and advertising, technology, equipment purchases, live entertainment, food & beverage, and retail matters. Manage the company's legal needs in connection with its real estate affairs, including matters related to both owned and leased park properties, and provide counsel on seasonal housing for workers and various land use issues. Work closely with the IT department on employee and guest data privacy matters and PCI compliance issues. Provide legal advice to the Sales, Marketing, and PR departments related to sales contracting, marketing initiatives, advertising, and sweepstakes compliance. Keep all park licensing obligations up-to-date, including those related to liquor licenses and music licensing agreements. Maintain and update corporate record books, draft entity resolutions and oversee the filing of annual reports. Manage and protect the company's trademark and copyright portfolio. Consult with General Managers and other park personnel and assist in drafting and maintaining policies and procedures related to park operational matters, including those related to ride safety and guest accessibility. Protect the company's interests in litigated matters, including working directly with outside counsel on case management and strategy. Work closely with the Human Resources department and provide counseling on a full array of employment and labor law issues. Assist with corporate compliance matters, including reviewing ethics complaints, conducting legal training, and preparing compliance reports for the company's international parent entities and board of directors, and third-party auditors. Assist with matters handled by the Risk Management department, including personal injury claims and lawsuits, insurance placement, and workers compensation claims. Assist the General Counsel and the Legal department on a wide range of other issues depending on the critical needs of the company. Interface with all vendors, suppliers, consultants, and others with whom the company contracts. Work with outside counsel.

The candidate must have a College Degree, Juris Doctorate (law degree), and licensed or eligible to practice in Pennsylvania with 7+ years of experience in a wide range of legal disciplines. Must have a strong contract drafting and negotiation background. Theme park or hospitality industry experience preferred. Highly developed interpersonal, verbal, and written communication skills, including presentation skills; ability to communicate clearly, concisely, and persuasively with a wide range of diverse personnel. Inspire others to achieve results by enhancing morale and empowering others. Lead by example with the highest levels of professionalism, honesty, and integrity. Establish credibility throughout the organization by providing the highest levels of service and care for the challenges, goals, and problems which colleagues face. Maintain a visible leadership role inappropriate industry, community, and business organizations including charitable endeavors which enhance the company's reputation across the community, and being highly active in the Bar Associations and legal community activities. Define problems by amassing the full spectrum of ideas, perspectives, and facts related to a given issue, then draw reasoned conclusions which balance all variables and which reflect a clear picture of risks and benefits so that executives can make fully-informed decisions. Execute remedial strategies in a timely manner, striving for creative solutions and never merely providing just the bare legal  answer. Make improvement projects a never-ending mission. Manage projects and programs from concept to completion, with attention to details and by getting all persons involved who can add value. Develop and achieve strategic objectives, stay hyper-organized while managing time and competing priorities in a fast-paced environment with an extremely demanding workload. Maintain a steadfast commitment to excellence, and to the highest standards of the legal profession. Represent the Company of an executive and legal profession, both internally and externally; convey a professional and positive image of the organization and business affiliates. Handle multiple priorities simultaneously; maintain a flexible work schedule to meet changing demands for multiple concurrent projects. Take initiative and execute plans to accomplish strategic objectives in a fast-paced, evolving environment; strive to contribute to the vision of an ever-improving company that is seeking to grow and achieve ever-greater success. Computer Proficiency in MS Office Suite, Excel, and Outlook required. Must maintain close, excellent working relationships with all personnel at Corporate and park management. Closely works with the General Counsel, the Paralegal, and the Risk Management division.
