In-House Corporate Counsel The candidate partners cross-functionally to ensure that the Company adheres to all legal and regulatory requirements. Advises and collaborates with all levels of the Company to facilitate business strategy development while limiting exposure to risk by leveraging internal and external expertise. Anticipates develops strategies/policies and mitigates potential risks for the company to avoid litigation and other potential liabilities. Gathers evidence and legal information for court cases, and represents the company in legal matters, using outside counsel where appropriate. Participates in settlement negotiations, depositions of witnesses, and discovery as needed. Advises the company on its legal rights and obligations and keeps the company abreast of new laws, regulations, or statuses (state, federal, global). Participates in the development of corporate policies, procedures, and programs to ensure compliance with federal and state-mandated regulations, laws, and policies. Develops legal processes that enforce corporate governance in reviewing policies, practices, legal contracts, company publications, real estate leases, and business purchases for potential risks. Analyzes and summarizes legal documents and offers advice on issues including contracts, property interests, collective bargaining agreements, and government regulations. Prepares, submits, and monitors copyright applications for products, trademarks, and services using outside counsel where appropriate. Reviews and drafts internal and external contracts/agreements and documentation to ensure compliance with the laws to protect the interests of the company. Reviews, drafts, and monitors environmental policies/procedures for the company. Directs the administration and compliance of all property and casualty workers compensation, employment, product, and general liability, auto, crime, environmental, etc. insurance. Handles all claims related to the same. Establishes and maintains international business relationships and prepares/implements all required legal documents and agreements for the Company's entity structure and operations. Provides support and counsel on Board governance matters.
The candidate must have a Bachelor's or Jurist Doctorate degree and a license to practice law in the State of Iowa with 5-10 years of experience in corporate law practice within a large legal firm or within a large organization. Strong knowledge/experience of corporate laws and public company governance and regulations a plus. Must possess strong business acumen and demonstrated experience enabling business strategy while ensuring compliance and reducing organizational risk. Familiarity and understanding of public companies needed. Excellent communication and negotiation skills are required. Closing Date: 05/11/2021.
