Senior Counsel - Commercial And Contracts

Senior Counsel - Commercial And Contracts The candidate will support company's U.S. Sales and Customer Success organizations in structuring commercial transactions, and drafting and negotiating complex commercial agreements such as SaaS subscription agreements, partnership and licensing agreements, order schedules, statements of work, and confidentiality agreements. Effectively and efficiently identify legal issues and risks in legal agreements. Identify compliance issues and as necessary, escalate to internal subject matter experts for feedback and approval. Provide legal counsel and advice to Sales and Anaplan leadership on legal issues, including those related to contracting and compliance, including data protection and privacy. Interact directly with, and build strong relationships and trust, with internal and external clients and executives. Partner with finance, sales ops, tech ops, security, privacy, procurement and other internal teams to ensure consistent management and compliance with company policies and processes. Assist in reviewing and revising contract templates as necessary and appropriate, based on changes in the organization, the industry and/or applicable law. Assist in drafting and updating global corporate policies and processes, ensuring regulatory requirements are adhered to, and developing and providing training on relevant topics such as the contracting process, key contract issues, data privacy and legal compliance in the sales and contracting processes. Should have 5+ years of relevant legal experience, in a Cloud/SaaS software company and/or in a law firm counseling rapid-growth technology/Cloud/SaaS companies. United States qualified lawyer with accredited law degree and a current license. Knowledge of and experience with data privacy regulations and related requirements (e.g. GDPR, CPPA, Schrem II). Must have substantive experience and expertise drafting and negotiating complex, commercial and other technology-related agreements with Fortune 500 companies, customers in regulated industries, etc. Should have substantive experience and expertise in dealing with/collaborating with Sales, Sales leadership, Finance, Pricing, Security, Privacy, and Executive teams on complex contract negotiations.
