Commercial Contracts Counsel The candidate will be responsible for the drafting, evaluating, and negotiation of the legal terms and conditions of a variety of contracts including, but not limited to, technology and intellectual property related contracts, vendor contracts, real estate leases, non-disclosure agreements, and other contracts. Drafts, reviews, and negotiates a wide range of commercial contracts for the business including inbound and outbound software subscriptions, professional services agreements, master services agreements, online terms of use, privacy policies, internal data compliance and other compliance policies, technology and intellectual property license agreements, SaaS agreements, affiliate partner agreements, service provider agreements, marketing and cloud services agreements, detail oriented services, statements of work, promissory notes, systems implementation agreements, hosting agreements, various independent contractor agreements, and nondisclosure agreements. Works with senior management to draft contract terms and conditions, policies, procedures and legal documents, as needed, which would achieve company objectives and provides advice on the interpretation, implementation and administration of policies and procedures. Advises client engagement teams and the relevant business unit leaders of the key legal risks of the proposed project and contract, including what legal and regulatory issues need to be addressed early in the process and requirements for the company in meeting obligations associated with contracts and agreements. Provides advice based on the appropriate balance of risk mitigation and business interests on a real-time basis. Works to make all contractual documents compliant with the company's policies and maintaining an understanding of the impact of any changes in the company's policies, organizational structure, and procedures. Coordinates with cross functional teams (accounting, IT, brokerage operations) and legal & compliance colleagues (data privacy, employment, compliance) in order to provide a comprehensive risk assessment and risk management. Records contracts in the company's contract lifecycle management system, implements reports and notifications, coordinates contract execution in accordance with company policy, and supports the use of the contract lifecycle management system. Enforces compliance with contract management policies and procedures. Collaborates with multiple business areas to manage and monitor contract activity. Deals with multi jurisdictional business practices across the U.S. and internationally, in relation to a variety of contracts and related compliance matters. Provides input, feedback, and recommendations concerning the company's contracting procedures. Fosters compliance by partners, principals and employees with all applicable laws, rules and regulations affecting the company. Escalates identified key contractual provisions to senior lawyer or General Counsel as necessary. Supports the Legal department and provides assistance on special projects as needed. Coordinates with outside counsel as needed. The candidate should have at least 4+ years of relevant experience within an in-house legal department or a law firm. Prior in-house experience is preferred. Real estate experience a plus. Membership in a State Bar as an attorney qualified to practice law in any US state. Good standing with the State Bar including being current on individual state Continuing Legal Education requirements. Experience with G-Suite and CONGA Contracts a plus. Must be knowledgeable about technology and software development and affiliated services partnerships. Multitasker. Must be willing to be aggressive to support the company's goals and needs while also being collaborative and a team player who is solution-oriented thinking with a focus on exceptional client service. Superb Contracts Experience. Must have the ability to assess the size and scope of contemplated transactions and to tailor contracts and negotiation efforts accordingly. Experience applying law to a Service. In-house experience. Experienced with contract life-cycle management system. Ability to work flexibly across all US time zones and, occasionally, international time zones, and juggle multiple internal clients across multiple time zones. High degree of cultural and emotional intelligence. Limited travel required.
