Corporate Transactions Counsel Duties: Demonstrate and communicate the core values of and The BAYADA Way. Support all aspects of M&A transactions including providing strategic advice and guidance to business teams; negotiating key deal terms; drafting of key transactional documents; leading legal due diligence; supporting integration activities. Support all aspects of a wide variety of complex commercial contracting including providing advice, guidance and drafting support to payer contracting team; Provide advice regarding arrangements and transactions with physicians and other individuals and organizations regarding medical or other clinical services; Support other complex and routine contracts with customers, suppliers and partners. Provide guidance and advice on substantive regulatory issues including the Stark Law, Anti-Kickback Statute, tax-exempt organization requirements, and other state and federal health care regulatory requirements. Provide counsel and support contractual dispute resolution including guidance on risks and resolution alternatives. Assist in corporate governance activity. Identify continuous improvement opportunities related to the M&A and contract review processes; Develop playbooks, templates, checklists, preferred standard terms and escalation and approval processes for the use of non-standard terms. Assist with the evaluation, selection and implementation of systems to support contract lifecycle management. Ensure that all transactions are conducted in compliance with all applicable laws and regulations, and internal policies and procedures. Assist with corporate governance matters for international and domestic subsidiaries and majority-owned joint ventures. Assist with entity formation, mergers, dissolutions, and prepare corporate organizational documents. Remain current on state and federal regulatory requirements and Pennsylvania Nonprofit Corporation law, communicate changes and provide training to business stakeholders. Proficiency in legal research, including Lexis, Westlaw & other research tools, as well as technology used in operations, such as contract and document management. Perform other duties, as requested.

Qualifications: Exemplifies characteristics of The BAYADA Way: compassion, excellence, and reliability. Juris Doctorate from an ABA accredited law school with a license to practice law in New Jersey and outstanding academic credentials. Must have 5 years relevant work experience with emphasis on healthcare related transactional and contractual matters. Track record of increasing responsibility and positive results. Strong problem solving, leadership and interpersonal skills. Effective communication skills with the ability to present and respond to senior leaders. Excellent organizational skills and ability to meet critical deadlines; flexible and capable of managing multiple priorities.
