Corporate Counsel Responsibilities: Provide initial review and engage in the negotiation of commercial contracts directly with customers. Work directly with the delivery, sales and people services teams, providing assistance to senior management and other business members. Assist with creation of standardized language and processes for contract review and administration. Review, draft and negotiate non-standard statement of works, non-disclosure agreements, master service agreements, requests for proposals, vendor agreements, and other commercial contracts. Collaborate with internal groups on a variety of projects to ensure compliance with commercial contracts and policies. Analyze and report on specific risks associated with commercial contracts. Effective communicate to senior leadership regarding key risks and mitigation efforts. Assist with general legal matters, as needed by the General Counsel.
Requirements: Juris Doctor from an ABA-accredited law school. Member in good standing in a Bar for any U.S. state/territory or the District of Columbia. 2 + years experience in a law firm or corporate legal department preferred. Firm understanding of information technology/ERP software implementation transactions. Familiarity with data privacy and security compliance obligations for cross border transactions preferred. Ability to multi-task and handle multiple complex matters simultaneously. Excellent interpersonal and organizational skills. Strong Microsoft Office skills.
