Corporate Counsel, Securities Duties: Provide legal thought leadership and strategic advice including best practices in the legal field, all within the organization's stated corporate values. SEC Reporting: supporting the preparation and filing of various reports with the SEC on Forms 10-K, 10-Q, 8-K, and 11-K and other disclosures (press releases, earnings release, investor relations presentations). Accountable for developing and legal review of the annual proxy statement, registration statements, and Section 16 reports for company insiders. Assist in preparation and review of Board of Director meeting materials, developing resolutions, and corporate governance and compliance filings. Advise and assist on corporate governance issues, including assisting management in interactions with proxy advisory firms and investors. Manage corporate records and governance for global network of subsidiaries. Advise and support the Corporation's compliance with applicable securities laws and related laws and regulations, including Regulation FD, Regulation G, stock exchange requirements, insider trading laws and equity incentive plan matters. provides support to the treasury function, including debt financing, hedging arrangements, equity issuances, etc., and tax function. Ensures full compliance with all regulatory, legal, and accounting mandates by partnering with internal and external auditors. Oversees and manages tasks performed by the proxy solicitor and financial printers including reviewing transactions in company stock, proxy and annual report distribution, and shareholder services. Assists with legal strategy on M&A transactions, performs due diligence and supports negotiations in acquisitions and corporate development projects, including joint ventures. Assists with provide advice and counseling to HR function and business leaders on executive compensation arrangements and incentive compensation plans (cash and equity). Review external communications, including ESG reporting. Assist in managing one or more paralegals, supporting their professional development and directing their legal work appropriately. Efficiently direct the workflow of outside legal counsel on matters requiring external expertise or additional legal support/capacity. Collaborate with other departments, including accounting, finance, tax, treasury, investor relations, communications and HR. Provides corporate legal support and other related duties as requested.

Qualifications: JD Degree from an ABA-accredited law school with 6+ years of legal practice experience in corporate governance, SEC reporting and transactions. Bar qualification in Kansas, or ability to become licensed to practice law in Kansas. Extensive experience and skill at writing policies and guidance documents supporting various business activities and conducting investigations. Sound business judgment, clear communication skills and strategic thinking with a consultative approach. Flexibility, initiative and willingness to work on a broad variety of legal matters. Hard working, problem-solving, and able to manage numerous projects and teams simultaneously under deadline pressure. Excellent interpersonal skills and team-oriented.
