Corporate Counsel The candidate will be negotiating and drafting agreements and contracts on behalf of the company, including commercial vendor contracts, client agreements, leases, and technology licenses. Offering counsel on a variety of legal issues, including healthcare regulatory matters (especially privacy issues); contractual matters, including potential risks and liabilities; corporate organization; and litigation management. Helping oversee the company's compliance and ethics programs. Collaborating with senior executives and departments within the company on important strategic initiatives. Managing the company's portfolio of business insurance. Researching and anticipating unique legal issues that could impact the company. Reviewing program materials to ensure legal compliance. Providing training to the company on legal topics.
The candidate must have J.D. degree from a recognized university and licensed to practice in Tennessee or Arizona. Must have 5+ years of experience, preferably some in-house and including training gained in large law firm. Must have strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization. Must have strong negotiating skills with both legal and financial/commercial issues. Experience in advising companies backed by venture capital firm and understanding of early stage capitalization structures is preferred. Managed care experience is preferred. General knowledge of healthcare regulatory law, in particular HIPAA and privacy matters; knowledge of Medicare Advantage and Medicaid regulations is a plus.
