Contracts Attorney The candidate is a key individual contributor on a high-speed contract management team that coordinates and executes all phases of a contract renewal lifecycle including up-front communication with clients, fast review of agreements and transaction documents, revisions of terms and conditions, and assistance with review and revision of contracts. Will handle initial contract review. Draft amendments, transaction documents, master agreements, and other related documents from time to time. Review and negotiate customer sales contracts and vendor agreements that meet the company's requirements under its policies, including those for risk tolerance, while working collaboratively with the business team, including various executives. Support Director of Contracts with the continuous improvement of standard forms of agreement and legal processes. Collaborate with finance, sales operations, product operations, support, security, and other business units at all levels throughout the organization to ensure that agreements adequately protect the company's interests. Track key contract terms. Maintain current knowledge of relevant contractual procedures and practices. Respond to questions from internal departments on account contracts. Manage complex and high-priority escalations with little supervision. Perform general support clerical duties. Responsible for reviewing and administrating contracts throughout the contract lifecycle, including validating transaction documents and ad hoc documentation, and managing customer demands, and contract closeout. Participate in special projects as required.
The candidate must have a J.D. degree and 5-8 years of experience in contract review. Transactional Paralegal experience preferred. Bilingual (Portuguese or French), preferred. Legal experience in a similar work environment preferred (i.e., fast-paced in-house corporate legal department preferred). Agile, reliable, highly motivated, detail-oriented, organized individual who is able to prioritize and multi-task effectively as well as able to work individually or within a team environment. Able to clearly understand the requirements between customer and vendor roles depending on the required task. Must be able to work independently. Excellent written and oral communication skills required. The ability to organize, prioritize, complete activities, and meet deadlines on a daily basis is needed. Requires strong oral and written communication skills and be detailed oriented. Requires proficiency with computer applications, such as Windows, Excel, and Word. Must be meticulous attention both to detail and quality of work product. Strong interpersonal skills with the ability to work cross-functionally with multiple stakeholders and teams, providing excellent support when needed. Ability to spot problems and develop and lead the implementation of creative solutions needed. Must have the ability to interact comfortably with personnel in various roles and levels across the organization and enforce legal requirements without alienating internal clients.
