Sr. Corporate Counsel The candidate will provide legal advice to leadership and management team to ensure the company's interests are adequately protected. Manage all standard company contracts, including employment agreements, lease agreements, and vendor agreements. Manage corporate and governance issues, including maintaining corporate status under federal and local laws and developing, updating, and maintaining's governance framework relating to the roles and authorities of the Board, Officers, and Executive staff, delegation of authority, and key governance documents and policies and on conflict of interest matters. Support the Human Resources department with potential employment issues. Oversee regulatory compliance and risk management, including training programs and related policies and procedures for employees, agents and contractors. Provide guidance to the Marketing Department for compliance on a broad range of operational, legal and business issues. (Issues could include but is not limited to reviewing advertisements, responding to customer inquiries, ensuring regulatory compliance including but not limited to FDA and FTC advertising and labeling requirements, and providing risk assessments.). Manage any necessary litigation with outside legal firms. Support litigation efforts to minimize outside legal expenses. JD Degree from and accredited Law School and member in good standing with a state bar required. 3-7 years of law experience with public law firm and/or as in-house counsel. Experience in a corporate law department working with senior counsel and senior business leaders preferred. Healthcare and regulatory law experience including knowledge of HIPAA, Stark, anti-kickback, Medicare, and corporate law preferred. Strong negotiating and communication skills, including the ability to communicate concepts and issues effectively with all levels of management required.
