Associate Counsel - Real Estate Development Responsibilities: Structure, draft and negotiate a broad spectrum of complex agreements for large-scale real estate development projects in multi-family residential, commercial office, mixed use, and other asset classes, including term sheet, confidentiality, consulting, service, construction, architects, engineering, purchase and sale, lease, ground lease, joint venture development, artwork, sponsorship, and other related agreements. Efficiently manage the process of large-scale real estate projects, including coordinating internal and external stakeholders and law firms, conduct due diligence, identify and address issues as they arise, use professional judgement to prioritize and reprioritize tasks, handle escrows, closings, and post-closing matters. Coordinate and provide support for land use, entitlement, mapping, and common interest development matters. Address general corporate, financing, operational, intellectual property, and technology-related matters, including entity formation, debt and equity financings, review partnership structures, handle REIT compliance, tax, and accounting matters, coordinate trademark, copyright, and patent filings, and draft and negotiate SaaS, technology licensing, co-development, outsourcing, procurement, and related agreements. Review and interpret the requirements of governmental agencies, laws, statutes, rules, regulations, and court decisions related to State licensing, data privacy, cybersecurity, IoT, and sustainability, among other topics. Review and interpret contracts related to the structure, operation, and management of Google Development Ventures and Digital businesses. Identify and track new legislative and regulatory requirements, emerging risks, relevant trends, understand how they can affect business objectives and recommend potential adjustments, as appropriate. Coordinate and conduct research and analysis, formulate thoughtful opinions based on relevant facts and circumstances, and deliver succinct and direct advice. Deliver strategic, high quality, and accurate legal advice in a user-friendly way to management on matters such as strategic planning, risk, risk mitigation, contract interpretation, and other matters as they arise. Provide legal advice that adds value, contributes to the overall commercial soundness of the matter, and helps to further the overall business objectives. Develop and maintain a thorough understanding of Lendlease's business plan, key business drivers, stakeholders, corporate initiatives, and how they affect process and drive outcomes. Develop policies and procedures to enhance operational effectiveness. Proactively support business outcomes rather than simply reacting to incidents or crises. Leverage, engage, and collaborate with internal business units (e.g., development, construction, operations, finance, tax, insurance, etc.), both domestically and around the globe, in the execution of your responsibilities. Contribute to the creation and maintenance of an environment of trust, openness, continuous learning and improvement, respect, and collaboration. Champion and role model core values of respect, integrity, innovation, collaboration, excellence, and trust to enhance team culture and performance. Will work closely with the SVP, Deputy General Counsel, to ensure that the legal needs of the Google Development Ventures Business and the Digital Business are met in an efficient and timely manner.

Requirements: JD Degree from an accredited law school and admission to a state Bar required. 5+ years of relevant legal experience. Extensive prior experience structuring, drafting, and negotiating a broad range of complex agreements for large-scale real estate development projects in multi-family residential, commercial office, mixed use, and other asset classes, including term sheet, confidentiality, consulting, service, construction, architects, engineering, purchase and sale, lease, ground lease, joint venture development, artwork, sponsorship, and other related agreements. Demonstrated experience managing the process of complicated, large-scale, multi-party real estate projects. A good working knowledge of land use, entitlement, mapping, and common interest development matters. Experience addressing general corporate, financing, operational, intellectual property, and technology-related matters, including entity formation, debt and equity financings, reviewing partnership structures, handling REIT compliance, insurance, tax, accounting, and intellectual property matters, and negotiating and drafting SaaS, technology licensing, co-development, outsourcing, procurement, and related agreements. Expertise and skill in analyzing complex issues and providing strategic issue-management and advice. Strong, clear, concise, and persuasive oral and writing skills. Experience enhancing legal frameworks, processes, and policies to better realize commercial objectives. Desirable: Large firm training with some in-house experience (optional); experience with large-scale developments, land use, entitlement, mapping, zoning, subdivisions, and complex common interest developments in California.
