Senior Counsel, Compliance Duties: Reporting to Senior Vice President, Corporate Transactions, Securities, Governance & Corporate Compliance Officer, responsible for the continued development and implementation of compliance program and its related activities to prevent illegal, unethical or improper conduct. Implement and manage WH&R's compliance and ethics program and governance model. Operationalize the policies and procedures for the general operation of the compliance program and related training. Monitor, analyze and apply domestic and international compliance-related laws and regulations. Ensure compliance risks are appropriately understood and mitigated. Participate in, and report on, certain compliance-related investigations and risk assessments. Administer the integrity hotline. Work closely with Internal Audit, Human Resources and other business groups on compliance-related issues. Provide advice and drafting assistance in connection with ESG reporting, including the Social Responsibility Report and ESG questionnaires and surveys. Assist other members of the Corporate Transactions, Securities, Governance & Corporate Compliance team with SEC filings and Board matters, including 10-Ks, 10-Qs, 8-Ks, Proxy Statements and Section 16 reporting.

Qualifications: JD Degree from an accredited law school. Admission to NJ or another State Bar eligible for NJ in-house limited law license. 5+ years of compliance-related experience in a multinational corporation or law firm, with in-house experience preferred. Hospitality industry experience a plus. Deep working knowledge of state, federal and international compliance-related laws, regulations and industry best practices. Experience implementing compliance policies and procedures and participating in investigations and risk assessments in an international business. Ability to work independently with minimal supervision and with high degree of subject matter expertise, initiative and innovation. Ability to anticipate issues. Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties. Ability to promptly and effectively respond to questions and concerns from senior management, clients, customers and regulatory agencies. Organized self-starter and ability to prioritize workload and manage deadlines. Strong written and verbal communication skills. Strong moral character required. Ability to maintain confidentiality and determine appropriate audiences and communication strategies by information and issue type.
