Deputy General Counsel, Assistant Corporate Secretary and General Counsel, Corporate Solutions Duties: Advise on legal issues with respect to corporate governance including director and officer independence and conflicts assessment; organizational documents (charters, by-laws, and governance guidelines); ISS/Glass Lewis engagement; and corporate policies presentations, memoranda and resolutions. Direct NYSE and corporate law requirements including advising on shareholder management and assisting with shareholder engagement. Contribute to the execution of parent and major subsidiary matters including drafting documents such as board and shareholder consents and minutes. Monitor rulemaking on securities, disclosure and governance matters and assist in implementation of new or amended rules and best practices. Provide legal advice and oversee establishment of policies to support subsidiary governance as well as ensure corporate compliance by parent-managed subsidiaries. Advise on U.S. corporate law, SEC disclosure and regulatory matters. Advise on executive compensation issues and draft and oversee preparation and filing of annual proxy statement, including legal advice on inclusion of any shareholder proposals. Assist with preparations for the annual shareholder meeting. Advise on Regulation FD and Regulation G issues, including material press releases, investor presentations and other Corporate Communications and Investor Relations matters. Support Finance, Marketing, Corporate Communications, and Investor Relations teams. Manage CS General Counsel in the Americas, Asia Pacific ( APAC ), and Europe, Middle East, and Africa ( EMEA ) tasked with supporting CS in global and regional pursuits through RFI and RFP proposal submissions, as well as the negotiation of renewals with large government, multi-national and regional clients, across sectors, to deliver a diverse range of strategy, service and digital solutions. Manage and respond to escalations from the Americas, APAC, and EMEA CS regions. Develop and manage along with the CS General Counsel in the Americas, APAC, and EMEA succession planning, training, and development initiatives structured to harmonize and align standard policies and procedures, enhance performance, and increase retention and promotion opportunities for the entire CS legal function. Manage relationships with outside counsel as needed and lead strategic ad hoc projects as required.

Qualifications: JD Degree required Admitted to U.S. Bar. 15+ years of legal experience with a major law firm and/or relevant in-house experience, with a demonstrated focus on corporate governance and transactions, along with securities disclosure. Significant hands-on experience managing corporate boards and advising on corporate governance topics. Experience operating internationally is a plus.. Outstanding academic credentials and excellent written and oral communications skills. Exceptional organizational and project management skills. Demonstrated ability to work in a fast-paced environment with a strong focus on collaboration. Ability to exercise strong judgment in consulting with colleagues and clients. Proven leadership abilities. Acute attention to detail. Experience managing diverse high functioning teams.
