Corporate Counsel of Contracts Duties: Legal document development, administration and tracking of key legal provisions. Negotiate terms, conditions, standards and language with minimal supervision. Perform contract review and interpretation to support business team. Misc. legal projects requested on an as-needed basis. Extensive contact with various levels of both internal and external customers.
Qualifications: JD Degree with a 5-10 years of relevant in-house or private practice experience. Law degree from an ABA-accredited law school. Active license to practice law in one or more states within the United States. Commercial contracting experience with emphasis on private security services preferred. Must have extensive experience negotiating complex commercial contracts in an industry that has high risk exposure to liability, in the context of both bilateral negotiations and responding to RFPs. Must have experience drafting and negotiating indemnification and limitation of liability clauses, with the skill to articulate and defend the company's position on these clauses. Experience managing a small team, possibly across several locations and jurisdictions, would be an asset. Effective negotiation, organizational and decision-making skills with ability to plan, prioritize and multi-task; Excellent customer service and interpersonal skills; Busines acumen and results-oriented mindset; Ability to establish and maintain effective working relationships with other employees, customers and vendors; Ability to review, comprehend, and, as necessary, rephrase/edit complex legal language; Excellent business and legal writing skills; Ability to effectively communicate (written and verbal) to all levels of the organization; Advanced knowledge of contract law and its application in the purchasing and sale processes; Strong leadership skills; Very detail oriented; Strong organizational and time management skills; Professional, self-motivated, flexible and able to meet deadlines under a high-volume workload in a fast-paced, constantly changing environment with minimal supervision; Strong grammar and spelling; Excellent computer skills in Excel, contracts databases and MS Word; and Positive attitude, ethics, and values which support our company's values, team, environment and a high-performance culture.
