Contracts Attorney Duties: Drafting, negotiating and managing commercial customer and vendor contracts, partnership agreements, security and compliance policy support and participates on related projects as needed. Will include the negotiation and drafting of contracts, principally, SaaS customer contracts. Will include the review and negotiation with vendor contracts, particularly in regards to IP rights. Oversees development of and approvals for potential solutions to customer requests, working with and coordinating activities between various departments (e.g., sales, deal desk, finance, tax, and insurance), to ensure deals generate the optimal outcome for stakeholders. Analyzes customer requests for information (e.g., RFQs, RFPs, and RFIs), advises commercial leaders on how best to respond, and drafts responses to ensure quick, accurate, and comprehensive follow up. Partners with the Sales, Commercial and Channel/Partner managers, to develop strategies for customer requirements based upon in-depth business and risk analysis. Additional responsibilities will include contract negotiation, drafting of supplier agreements, channel partner agreements, licensing agreements, non-disclosure agreements. Customer Lifecycle Management Tasks. Advises on and prosecutes customer related litigations claims. Advises on and assists in insurance claims related to customer contracts. Conducts due diligence related to customer agreements in M&A transactions as assigned by deal team. Provides legal advice related to customer contracts. Identifies when customer contracts, negotiations, and interactions do not comply with Celigo policies, processes, and procedures and escalates to appropriate party so they may address non-compliance. Prioritizes work, based on deal size and complexity, to generate the most sales and profit for the company. Responds to inquiries regarding contract obligations to provide contractual language. Responsible for any other customer contract related issues as may arise. Tracking. Communicates status for assigned contracts to management and Sales so they are aware of status and can take any necessary actions. Completes customer contract drafting tasks, including early contract termination, novations, price increases, renewals, amendments, customer rights, to ensure changes are properly documented. Educates Sales and Commercial team members on legal review processes and procedures, legal documents, applicable laws and negotiation strategies to improve sales win rates, sales process effectiveness, and efficiency. Develops more templates for customer transactions (e.g., new product offering, new policies). Develops more legal processes, policies and procedures where necessary to enable the Legal department to engage with the business in a more streamlined and organized fashion.

Qualifications: JD Degree or equivalent is required. Licensed attorney. Licensed and active member in good standing with the Bar. 3+ years related experience preferred. Professional experience with software/technology contracts.
