Corporate Counsel Responsibilities: Review, draft and negotiate a variety of agreements, including content licensing, NDAs, content distribution, network distribution, production, talent, consultant, music video licensing, software as a service, product/brand integration and other business-related agreements. Review, revise and advise on transactional and operational company business documents such as commercial lease agreements and service agreements, as necessary. Advise on other general legal issues. Support and provide guidance to internal clients of a variety of sophistication levels across several departments, including management and executives. Orchestration and facilitation of input and resolutions of issues from multiple stakeholders to drive contract closure and completion. Update agreement templates to ensure that they reflect changing industry norms and company necessities. Perform legal and general research, evaluate findings, and assist with developing strategies and arguments related to the same. Communicate with and work with outside counsel in Mexico regarding company business needs. Manage project workflows in company project management software and outside of system so as to facilitate coordination and completion of time- sensitive matters. Provide guidance and advice in connection with contractual issues and disputes. Establish and develop processes, workflows, and documentation (such as guides and deal terms sheets) in order to efficiently and effectively provide legal support across company departments. Proactively identify and provide suggestions and solutions to processes, workflows, templates, etc. in order to drive efficiency and productivity in the Legal Department and in company. Assist in litigation matters as needed. Complete special projects and other assigned tasks. Handle multiple tasks at once. Perform additional duties as assigned.
Qualifications: Law degree (JD) from an accredited US law school with excellent academic credentials. Admission to and in good standing with the Florida Bar. At least 7-8 years of relevant transactional, business experience gained in-house or at a law firm, preferably in the media entertainment industry. Bi-lingual (English/Spanish) is required. Fluent in legal Spanish drafting as well. Strong, proven analytical, drafting and negotiation skills. Strong, proven, efficient communication skills.
