Legal Counsel _ Contracts The candidate will expected to provide legal services to support one or more specific business units in the organization, as assigned by the Associate General Counsel- Commercial. Legal Counsel acts as an advisor on legal issues involving customer contracts and state and federal law and regulations; reviews matters that arise from the assigned business unit, and provides advice, based on the law, contracts and Company policies and procedures; may seek guidance from senior staff members or the Associate General Counsel; and may, at the request of the Associate General Counsel, coordinate or monitor matters assigned to outside counsel. Areas of application could include to: reviewing, drafting and negotiating various agreements, customer contracts, business law, health law, data privacy, license agreements, and contracts with vendors to the Company, and risk assessment. Responsible for projects assigned regarding the development and negotiation of contracts on behalf of the Company's business group assigned by the Associate General Counsel. Draft, edit, and negotiate contracts with customers, suppliers, and others who desire to contract with the Company, including, but not limited to agreements for participation in the Company's networks for health information messaging and connectivity, data use agreements, technology licensing agreements, joint research projects, and contracts with vendors supplying services or equipment to the Company. Work closely with, and provide advice to, teams within the Company responsible for the products/services requiring contracts or other documentation for delivery. Responsible for ensuring all relevant facts and legal considerations are assembled, assessed and accurate before contracts are presented for execution as it relates to all business transactions. Evaluate and advise appropriate legal courses of action to meet Company and business unit needs. Assist with internal and external federal, state and industry compliance activities. Act in accordance with the Department's service delivery model. Should have Juris Doctor Degree and member in good standing of at least one bar. Must have Practical knowledge, skills and abilities acquired through a minimum of 2-4 years of experience as a practicing attorney at a law firm or in-house, with any specific experience to be identified in the particular position posting. Should preferably have 2+ years of experience engaging with those responsible for business development on both sides of contracts/transactions. Some healthcare regulatory background is desired. Should preferably have Experience drafting and negotiating business contracts, especially those that include data rights/license agreements and other intellectual property. A general knowledge of health law, including anti-kickback, fraud and abuse, and privacy and data security matters in healthcare is desired.
