Associate Corporate Counsel

Associate Corporate Counsel Duties: Work closely with and provide sophisticated legal solutions to the sales and marketing team, draft and negotiate software license agreements. Draft, review and negotiate a wide range of commercial agreements, including complex technology transactions involving electronic health records, software licensing, cybersecurity/privacy, telehealth, data analytics services, clearinghouse services, cloud hosting services, third party outsourcing/partnering relationships, data security, data analytics and data sharing. Partnering with a substantial number of internal clients to structure contracts and commercial transactions. Assist with HIPAA and cybersecurity compliance in coordination with company privacy and security officers. Review and advise on impact of applicable state or federal regulations on the business and third-party relationships. Work closely with and provide sophisticated legal solutions to the sales and marketing team, draft and negotiate software license agreements.

Qualifications: Bachelor's Degree and JD is required. Current FL Bar or FL House Counsel qualification. 2-5 years of legal counsel experience preferably in a healthcare organization. Experience with transactional matters with health information technology organizations is preferred. Combination of law firm and in-house experience preferred. A self-directed problem-solver with a proven ability to take ownership of a variety of projects with little oversight and supervision. Strong communication (both verbal and written), diplomacy, and the ability to establish credibility necessary to effectively influence company employees and executives. Willingness to be flexible and adaptive and demonstrate a desire to operate in a dynamic and high-growth environment.. Possesses high integrity and is an out-of-the-box thinker. Creative problem solver who possesses sound business judgment and is detail oriented.. Strong quantitative and qualitative analytical skills.. Outstanding strategic planning and management skills.. Ability to integrate and balance priorities, work activities and resources for the benefit of multiple key stakeholders.. Ability to work in a fast-paced working environment. Ability to exercise discretion and make independent judgment regarding significant department managerial, business workflow, and legal matters. Excellent written and oral communication skills. Excellent attention to detail and organization skills with the ability to manage multiple priorities. Demonstrated PC skills, proficient with Microsoft Windows applications. Will be required to utilize discretion and independent thinking and judgement regarding matters of significance to the organization.. Demonstrated skills with utilizing current technologies in support of the organization such as Microsoft Office, Compliance 360, file management systems and other applicable hardware/software programs.
