Corporate Counsel The candidate will skillfully negotiate complex technology/licensing agreements (on premise, SaaS, and subscriptions), provide practical legal counsel and develop creative solutions to resolve issues. Efficiently manage a large volume and variety of transactions, negotiating numerous complex deals simultaneously while balancing appropriate legal and business risks. Rapidly assess potential risks, benefits and consequences of decisions, present alternatives and propose solutions to achieve business objectives while effectively managing legal and practical business considerations. Interface directly with customers' and vendors legal, procurement and contracting personnel, as well as internal executive leadership.
The candidate should have a JD, bar membership in at least one jurisdiction, and 5+ years of relevant in-house or law firm experience in a fast-paced environment. History of increasing scope and responsibility supporting the strategic, analytical and tactical needs of a corporate legal department with demonstrated success. Highly developed written and oral communication skills, with special emphasis on excellent drafting and negotiation skills. Ability to spot issues in and suggest improvements to form agreements. Strong organizational skills and ability to prioritize multiple tasks. Understanding of contracts and their translation into business tools, processes and other support mechanisms to achieve optimal productivity. Familiarity and comfort with procurement, technology licensing, and technology business and legal issues. Skill developing and maintaining effective working relationships with internal clients and external customers. Ability to focus key legal and business issues and alternatives for executive decisions. Results-driven; able to work in fast-paced, deadline oriented global environment. Self-starter and independent/strategic thinker. International legal work preferred. Supporting both Sales and Procurement/Purchasing functions a plus.
