Corporate Legal Counsel The candidate will provide ongoing legal counseling in a wide range of legal areas, including labor and employment, commercial transactions, marketing, consumer law, privacy, and regulatory compliance. Resolve issues that arise in existing commercial relationships and handle pre-litigation legal disputes and inquiries. Structure, draft and negotiate commercial agreements, including distribution, licensing and marketing contracts. Report and file statements and disclosures to SEC. Assist in the management of the company's insurance policies and strategies. Manage proxy statement responsibilities and NYSE listing/governance requirements. Ensure insider trading compliance, including Section 16 filings and 10b5-1 trading plans. Provide support for securities and governance for mergers and acquisitions, strategic investments and other corporate transactions. Assist with executive compensation matters, including equity compensation program support for long-term incentive pay structures. Manage and oversee company wide record retention policy. Provide counsel and advice regarding corporate governance requirements and best practices. Partner with departmental cross-functional teams, including Finance, Marketing, Sales, Operations, and Research and Development on various projects.
The candidate must have 3+ years of experience in general corporate matters is required, along with a J.D. from a law school. Must have an extremely high attention to detail, as well as excellent legal and business judgement. Must be a team player, possess a high level of energy, tact and a strong desire to learn and grow.
