Franchise Attorney The candidate will functions as subject matter expert for all franchise related questions and issues that come up via corporate associates, franchisees, and franchisors. Directs the processing of franchise agreements, renewals, assignments, defaults and terminations in accordance with federal, state and local laws including the drafting, processing, execution, and correspondence with franchisors for franchise agreements and amendments. Advise on franchise / franchisor sales and purchases, disclosure, relationship, and termination matters, as well as franchise / franchisors advisory councils, franchise advertising funds, intellectual property, data privacy, marketing, real estate, and other matters. Prepare, update, and maintain Franchise Disclosure Documents (FDDs) in the US. Review and update franchise agreements and development agreements. Negotiate and draft ancillary agreements, including purchase agreements, amendments, and other legal documents. Manage franchise disputes, litigation, and arbitrations. Support franchise transactions through closing. Work with outside counsel as necessary.
The candidate should have JD degree required, member in good standing with a state Bar. Should have 4-7 years of legal experience post law school. Substantial knowledge and understanding of all aspects of franchise law, required. Excellent communication (verbal and written), drafting and negotiating skills. Strong business acumen, problem solving skills and legal judgment. Knowledge of federal, state, and local laws pertaining to franchising, franchise sales advertising, and the ability to accurately apply pertinent regulations to company policies and broader strategic direction. Demonstrated ability to comprehend complex legal materials, analyze information and recommend viable solutions to lawyers and non-lawyers alike. Knowledge of and skill in using application software in a PC environment including Microsoft Office, Microsoft Outlook, Microsoft Word, PowerPoint and Excel. Strong interpersonal skills and the ability to become a trusted advisor to senior leadership and a valued teammate to cross-functional partners. Ability to communicate clearly and effectively in written and verbal communications. Demonstrate high degree of professional ethics and integrity. Sound judgement and ability to analyze situations and information. Ability to manage multiple tasks and prioritize accordingly. Problem solving and ability to work with strict deadlines in fast paced environment.
