Corporate Legal Counsel The candidate will be drafting, negotiating all transaction relating to technology licensing and outsourcing contracts, preferably from the suppliers context. Advise senior company leadership on legal risks associated with transactions. Educate and advise company executives with respect to legal and risk management issues. Experience in negotiating complex, multiyear information technology and outsourcing contracts. Lead, structure, draft and negotiate complex client transactions including: master services agreements, outsourcing agreements, statements of work, service level agreements, licensing agreements, SaaS agreements, data transfer agreements, requests for proposals and agreements.
The candidate should have JD (or equivalent) ,authorized and licensed to practice law in at least one jurisdiction (NY or NJ ). Should have 8-10 years of Corporate Counsel transaction experience in Technology/Software Licensing, IT, BPO, professional services, consulting, systems integration, and/or outsourcing areas. Experience should be in a law firm or in a fast-paced corporate legal/transaction group in a relevant industry. Experience with IP licensing and technology transactions, data privacy, cloud computing, or enterprise software. In-house experience at a technology company (preferred). Experience negotiating and drafting technology-based agreements. Good understanding of contracting/risk issues, including software licensing, IP las, as they apply to digital, consulting, systems integration, and outsourcing transactions. Proven ability to efficiently manage a large volume and complex transactions.
