Lead Counsel, US Commercial Contracts Duties: Assist the Head Counsel, US Corporate and Commercial Contracting and/or Head Counsel, US Commercial Contracting in management of Commercial Contracting for the USBU and other designated functions within the Company. Manage and supervise assigned attorneys and support staff to provide legal support to the USBU and other designated functions on a wide variety of commercial contracts, including services agreements, consulting agreements, software license and hosting agreements, commercial real estate leases, distribution and supply agreements, confidentiality agreements, sponsorships, and other commercial contracting matters. Assist the Head Counsel, US Commercial Contracting in liaison activities with functional heads regarding legal issues and services related to Commercial Contracting in order to provide a high level of legal service and to encourage proactive involvement of in-house legal personnel. Implement and oversee processes, systems and workflow relating to Commercial Contracting. Supervise the creation and maintenance of appropriate templates for use by Commercial Contracting. Initiate and contribute to the defining of and executing legal strategies relating to company business supported by Commercial Contracting. Collaborate with colleagues throughout Global Legal, including leading and/or serving on, as well as providing advice to, Virtual Practice Groups, as required. Provide guidance and training to less experienced attorneys and support staff assigned to Commercial Contracting; assist in providing and supervising cross-training opportunities. Develop and implement legal strategies, solutions and preventative practices with mid- and long-term corporate impact related to Commercial Contracting, including training programs on legal issues for Company personnel. Identify risks and propose alternative solutions to mitigate risks involved in potential transactions. Assist as requested with preparing and managing the budget (internal/external costs) for Commercial Contracting. Manage legal resources internally, directly and/or indirectly, and externally to complete projects in a timely and high quality manner. Assist business clients with contract and other commercial disputes that may arise, working with appropriate Legal colleagues and outside counsel as needed. Develop and continually expand and deepen a thorough understanding of the Company's current and planned business activities, products, facilities, customers, competitors, markets and functions in order to identify relevant legal trends, laws and regulations within Commercial Contracting. Assist in the identification and assessment of the corporate impact of relevant legal trends, laws and regulations within Commercial Contracting; assist in developing actionable responses and lead initiatives to ensure timely compliance by the Company. Draft, review and negotiate a wide variety of commercial contracts including CDAs, consulting agreements, services agreements, software license and hosting agreements, distribution and supply agreements, and wholesaler services agreements, in support of all commercial functions.

Qualifications: JD Degree or equivalent. 10+ years of experience in one of the following: law firm or corporate law department; government agency; contract administration; risk management; other relevant experience. An experienced manager with strong leadership skills. Demonstrated ability to use sound judgment to integrate business and legal objectives. Excellent interpersonal and conflict resolution skills and ability to work in a highly collaborative, team-oriented environment. Extensive experience and skill at negotiating, drafting and counseling clients on a broad range of complex commercial transactions. Desire and ability to be a hands-on  contributor who is customer service-oriented. Significant pharmaceutical industry experience preferred. Strong experience in drafting and negotiating a wide variety of complex commercial contracts. Leadership (Vision, strategy and business alignment, people management, communication, influencing others, managing change). Strong experience in managing employment decisions and performance management for direct reports, and supervising same for second-level reports. Initiate and lead policy and process improvements to ensure efficient and timely provision of high quality legal support for the Company's Commercial Contracting activities. Interaction (The span and nature of one's engagement with others when performing one's job, internal and external relationships). Develop excellent working relationships with Legal and non-Legal colleagues and key stakeholders. Innovation (The required level of scientific knowledge, knowledge sharing, innovation and risk taking). Develop solutions and resolve problems where relevant legal precedents may not exist and laws or regulations are ambiguous.
