Contracts Counsel The candidate leads negotiations for the sale of software and SaaS/Cloud products and services. Drafts and negotiates wide range of commercial agreements including software licenses, cloud and hosted services, and professional service engagements. Deals with commercial legal issues, intellectual property, resellers. Collaborates with sales, operations, finance, legal, tax, and services to ensure that agreements adequately protect the company's interests. Assists with other legal related projects including the development, review, and maintenance of policies, procedures, and playbooks for the legal department. Identifies, analyzes, and develops strategies for mitigating legal risks. Advises key business stakeholders with respect to legal issues. Must have J.D. and admission to practice law in at least one jurisdiction in the United States. Should have 3-5+ years relevant experience in a corporate legal environment or law firm. Experienced commercial contracts attorney with expertise in commercial contract negotiation, transactional, and/or in-house corporate legal experience. Should have strong drafting and negotiation skills with a proven track record of successfully negotiating large, complex deals. Requires detailed knowledge of commercial contracts terms. Experience in the technology industry preferred. Experience negotiating software, SaaS, PaaS and/or related services contracts desired.
