Counsel, Commercial Contracts Responsibilities: Draft, review, negotiate and advise on vendor and enterprise-wide contracts, including services, technology, SaaS, licensing, outsourcing, and supply agreements, while minimizing business and legal risk. Advise internal stakeholders on issues related to contract interpretation, negotiation, documentation, and renewals. Identify and address data security, privacy and intellectual property issues in a commercial context. Collaborate with Information Security, Information Technology, Vendor Management, Risk, Compliance, Product, and Accounting/Finance on issues relating to commercial agreements and related processes/workflows. Develop and refine the Legal Department's contracts policies, procedures, and standard clause libraries. Assist in the review and negotiation of commercial leases and real estate related contracts. Assist with the management of Legal Department vendor relationships. Assist with ad-hoc projects as assigned from time to time.

Qualifications: Juris Doctorate from an ABA accredited institution required. Licensed to practice law in the State of New York. Minimum 3 years of extensive contract drafting and negotiating experience practicing at a law firm and/or in-house legal department at a financial services company. Knowledge of banking regulations and competency of information technology helpful. Familiarity with data privacy laws/regulations applicable to financial institutions helpful.
