Contracts Attorney The candidate will draft, review, and negotiate a wide array of contracts for the company across various business areas. It will also effectively counsel and collaborate with various internal business partners to assist with special projects as-needed related to securities, general corporate matters, and business development. Draft, review, revise and negotiate a wide range of agreements, including clinical trial agreements, investigator-initiated study agreements, confidentiality agreements, services agreements, consulting agreements, manufacturing and supply agreements, and GPO and 340B agreements. Train and guide business teams on the use of contract templates, relevant legal issues, processes and good contracting practices. Ensure the consistent and timely delivery of high quality and compliant agreements while providing clear, practical and business-oriented guidance on all contracting issues through the entire contracting process. Update existing template agreements and develop new template agreements as necessary in order to streamline operations for internal clients. Advise on interpretation and other matters related to existing agreements. Manage and complete any additional projects or legal matters as needed, including matters related to securities, general corporate and business development. Develop and maintain strong business relationships across the company and contribute to cross-functional teams.
Requirements: Juris Doctorate from an accredited law school. Admission to California Bar or eligibility to be admitted as Registered In-House Counsel required. 3-6 years legal experience (in-house and/or with a large law firm) serving biotechnology, pharmaceutical and/or life science companies. Extensive legal transactional experience drafting, reviewing and negotiating contracts. Experience with government contracts and government contracting regulations is a plus. Working knowledge of federal, state and international human subject research, healthcare and privacy laws will also be helpful. Detail-oriented with a high level of intellectual, professional and interpersonal agility and flexibility. Excellent communication skills, both verbal and written. Proven ability to work collaboratively internally and externally, with the ability to manage multiple stakeholders and employ flexible approaches to work with varied partners.
