Senior Counsel-Litigation Duties: Manage the Company's portfolio of litigation and claims matters; develop strategies and provide direction to outside legal counsel to help produce positive litigation outcomes while minimizing legal expenses and improving efficiency. Provide practical, business-oriented legal advice and support to business units regarding litigation and claims risk exposure. Represent the Company in legal proceedings when needed; respond to complaints, draft motions, prepare witnesses for deposition, and attend hearings as needed. Advocate for the Company in written and verbal communications, ensuring the Company's interests are well represented. Advise risk teams, compliance teams, and business units on responses to regulatory examinations, inquiries, investigations, and audits. Provide legal advice on federal and state laws and regulations relating to employment, such as wage and hour and worker safety laws; work closely with Human Resources to develop and implement appropriate employment related workplace policies and procedures. Provide legal advice on employee matters such as terminations, performance management, and anti-discrimination practices; review and respond to EEOC claims; work closely with Human Resources to respond effectively to employment disputes. Conduct confidential internal investigations with purpose of providing advice and counsel to the business regarding potential violations of law and legal risks. Design, implement and manage processes for case intake, law firm hiring, case management, litigation holds, and e-discovery. Manage the Company's responses to subpoenas and requests for information and documents. Conduct sophisticated legal research using various sources and methods. Use sophisticated business acumen to analyze and report on expenses, efficiency, and outcomes in litigation and claims portfolio; develop strategies for cost containment and better outcomes. Actively manage litigation and claims function, including managing to a budget, managing quality and consistency of legal advice, establishing and tracking key performance indicators, ensuring efficient operations, and effectively supervising lawyers and legal staff. May provide legal advice and support on commercial contracts with vendors and other third parties. Review, draft, negotiate, and offer practical, business-oriented solutions for a wide range of contracts, including master service agreements, outsourcing agreements, technology agreements, licensing agreements, SaaS, requests for proposals (RFPs), confidentiality agreements, and consulting agreements. Provides legal advice and support on a wide range of legal and regulatory matters affecting the Bank and its subsidiaries as assigned. Applies sound ethical judgment in execution of all duties and responsibilities. Promotes and demonstrates compliance with legal and regulatory requirements, as well as the policies and procedures of the Bank and its subsidiaries. Acts independently and proactively without direction from internal or external legal counsel, evidencing good judgment on difficult issues. Complete assignments as assigned by General Counsel and Associate General Counsels.
Qualifications: Completion of four years of college undergraduate study with degree. Licensed Attorney in good standing admitted to practice in Virginia or able to satisfy corporate counsel/license transfer requirements. Additional bar admission and licensing in Maryland, New York, or North Carolina is beneficial. Completion of accredited Law School with degree (J.D.) from top 50 law school. 10+ years of experience as a practicing attorney, of which, preferably, 3+ years was spent in a public company in-house legal counsel role. Excellent written and verbal advocacy skills. Excellent analytical skills. Excellent interpersonal skills; ability to interact effectively with a wide range of stakeholders. Attention to detail and ability to remain organized without supervision. Ability to work collaboratively and contribute to team goals. Business orientation; ability to be creative and provide practical solutions. Ability to manage multiple projects and work successfully in a fast-paced environment. Ability to prepare and deliver technical presentations, including spending analyses. Ability to use PowerPoint, Excel, Word, and other standard business programs. Highest degree of adherence to ethical standards.
