Corporate Counsel The candidate will be reviewing and negotiating a wide variety of contracts, including vendor agreements, content licensing agreements, SaaS agreements, software licensing agreements, statements of work, digital revenue agreements, sales contracts, newsroom grants, NDAs, and data processing agreements. Working collaboratively with business sponsors, contract managers, and key internal stakeholders (such as Finance and the Data Privacy and Protection Team) to shepherd agreements through the approvals process. Providing legal and strategic business advice to teams across McClatchy to advance company objectives while mitigating legal risks. Staying on top of legal and digital media/news industry trends and keep the team up-to-date and informed on relevant developments. Conduct extensive research on various topics raised by the business sponsors or key internal stakeholders to be able to make recommendations as to risk and other factors. Maintaining an awareness of current and anticipated legal and regulatory requirements affecting media, including libel, privacy, CAN-SPAM, and copyright, as well as issues such as patent law that affect technical contracts. Taking on special assignments from the General Counsel's office as requested.
The candidate should have JD and bar admission and in good standing in at least one state. Minimum of 4 years of relevant work experience (law firm and in-house legal department). Exceptional communication skills with the ability to explain legal concepts clearly and succinctly for both legal and non-legal audiences. A demonstrated ability to consistently deliver outstanding, thoughtful, client-focused results. An enthusiastic, can-do attitude and willingness to participate in all projects, large and small. Excellent issue spotting and drafting skills. The ability to prioritize competing demands and to balance legal and business risks. Proficiency with (or willingness to learn and embrace) project management software and contract management software. An energetic, authentic, and friendly demeanor with a great sense of humor. Media company experience preferred. Experience with data privacy/data security preferred.
