Counsel 3 - Corporate Counsel Duties: Provides guidance to management on legal and regulatory matters impacting business strategy and policy, or claims against the Company. Proactively identifies policy, legal, and regulatory matters pertaining to area of expertise, and evaluates the legal risk and impact. Exercises considerable discretion and may serve as the primary legal contact for assigned clients. Collaborates within the department and across business and staff functions to address legal and risk issues in a manner consistent with the best interests of. May coach and mentor more junior staff. May lead initiatives of varying scope and complexity. Will be a member of the Legal Department's Corporate Governance & Securities (CGS) Division, which provides legal advice and support on matters relating to general corporate, corporate governance, and securities laws and regulations, including to the Company and Boards of Directors and committees. Provides corporate governance support to all of the subsidiaries and controlled legal entities of Company. Will be responsible for supporting the Board of Directors and senior management of Company and its principal banking subsidiary, in connection with corporate governance matters and the preparation, administration, and distribution of Board and committee meeting materials, including preparing Board and committee meeting schedules, agendas, resolutions, and other meeting materials; attending committee meetings and preparing minutes; assisting with responses to regulatory information and examination requests; preparing and/or reviewing updates to corporate governance policies and other corporate governance documents, including governance guidelines and committee charters; working with other Section and Division attorneys in preparing's proxy statement and annual report governance disclosures and preparing and/or reviewing portions of SEC Forms 10-K, 10-Q and 8-K; providing general governance advice related to Board and committee matters; identifying emerging corporate governance best practices relevant to the financial services industry and facilitating implementation, where appropriate; and contribute to other Office of the Corporate Secretary activities as needed.

Qualifications: Active State Bar membership. 5+ years of experience as a practicing attorney. Desired Qualifications: Ability to analyze legal and regulatory issues in area of practice and provide effective advice to clients on complex legal matters. Extensive experience conducting research and providing counsel and guidance regarding complex legal issues. Strong attention to detail and accuracy skills. Excellent verbal, written, and interpersonal communication skills. Ability to effectively organize and prioritize work while handling multiple matters. Ability to work effectively in a complex environment with a high degree of collaboration. Effective in building partnerships, functioning well with project teams, and working for the success of the team. Experience within a Corporate Secretary division of a publicly traded company or the corporate, securities, or governance section of a publicly traded company or law firm. Strong understanding of NYSE, SEC, and Sarbanes-Oxley corporate governance rules and regulations as well as Delaware General Corporation Law. Experience advising financial institutions or other regulated entities on corporate governance and regulatory matters. Experience advising senior management of publicly traded companies on the above-described subject matters. Demonstrate highly developed oral and written communication skills, including ability to communicate ideas in a clear, succinct manner. Excellent drafting and communications skills, with the ability to take the lead on document development and review. Experience interacting with and presenting to senior management, regulators, or other internal or external stakeholders. Ability to manage multiple and time-sensitive matters.
