Corporate Attorney Duties: Directs and handles all legal aspects of sophisticated internal and external commercial agribusiness loan transactions. Consults with and advises relationship managers and other associates concerning these transactions. Provides legal counsel, guidance, recommendations, and proactive advice on complex legal issues to assigned individual banking groups/divisions/management. Reviews real property title work to obtain satisfactory title insurance, in coordination with paralegals. Prepares, reviews, negotiates and/or interprets various legal instruments and documents of all types such as contracts, leases, credit agreements, promissory notes, mortgages, security agreements, and other agreements. Advises bank staff on the implications of new, revised, or proposed laws or regulations, court decisions, orders, or general business law affecting the bank or its operations. Offers training, mentoring and serves as a resource to other associates. Prepares training materials and presents this material to Legal Loan Processing Associates and other groups and Associates within the bank as appropriate. Continues professional development through seminars, university courses, and/or membership in professional organizations and sustains knowledge of current developments in areas of responsibility. Participates in special projects and performs other duties as assigned.
Qualifications: JD degree from an approved law school and state bar admission, with law review or equivalent experience preferred. 2 ?5 years of relevant experience representing lenders and/or borrowers in negotiating, documenting, and closing a wide range of commercial financing transactions; or an appropriate combination of education and experience. Preferred Qualifications: Law firm experience preferred. Intermediate knowledge of corporate and commercial law in the context of sophisticated commercial loan transactions, including real estate and personal property collateral, participations, and syndications. Basic knowledge of the laws and regulations affecting the Farm Credit System. Advanced analytical and problem-solving skills. Knowledge of Microsoft Office applications (Outlook, Word and Excel). Advanced organizational and time management skills. Excellent verbal and written communication and interpersonal skills. Ability to prioritize and schedule work and projects without supervision. Strong informal leadership skills, ability to work well with a large team of varied Associates and skill levels, including the ability to work well across other departments. Availability for occasional work outside of business hours.
