Senior Corporate Counsel/Corporate Counsel Duties: Provide legal support for retail and commercial banking matters, including issues pertaining to deposit and credit relationships. Advise on a range of client-related agreements including, credit agreements, amendments, subordination agreements, guaranties, waivers and forbearance agreements. Advise the bank in relation to a wide range of contracts, such as master service agreements, license agreements, other vendor contracts and non-disclosure agreements. Coordinate a range of litigation matters and manage outside counsel representing Bank in various jurisdictions. Review and/or prepare, as applicable, the company's annual proxy statement, 8-Ks, 10-Ks, 10-Qs, and other filings as applicable. Ensure compliance with SEC regulations and NASDAQ exchange listing requirements, in coordination with outside counsel as needed. Offer legal support for merger and acquisition activities from time to time. Develop and/or memorialize standardized procedures to support consistency and accountability. Senior Corporate Counsel will also: Manage outside counsel in relation to various litigation matters with minimal supervision. Engage in strategic policy-making decisions affecting multiple areas of the organization. Serve as subject matter expert (SME) in relation to one or more areas of expertise. Proactively anticipate and mitigate potential legal issues and develop strategies to reduce potential risk and expense.
Qualifications: JD Degree from an accredited law school required. State Bar Admission(s) for one or more of the following states required: WA, OR, CA, or ID. Corporate Counsel: 6+ years of legal experience required. Banking/financial services experience preferred. Senior Corporate Counsel: 8+ years of legal experience required. Banking/financial services experience preferred. Experience working with public companies as an internal or external client is preferred. Have initiative as well as analytical, critical thinking and problem-solving skills and an ability to develop clear solutions to complex or nebulous issues. Possess proven writing skills with attention to detail. Have strong oral and interpersonal communication skills, including the ability to advocate effectively. Exercise sound judgment and maintain appropriate discretion in relation to highly sensitive information. Able to handle day-to-day inquiries with minimal supervision and determine when escalation of matters is appropriate. Able to prioritize multiple projects while maintaining high quality work product. Have organizational and planning skills. Able to work effectively with colleagues at all levels of the organization and build respectful, trusting relationships.
