Legal Counsel - Securities and M&A The candidate will participate in review and preparation of SEC filings, including the proxy statement and quarterly and annual securities filings. Support Adobe's corporate development team in investments and large complex transactions, including drafting and negotiation of NDAs, definitive agreements, and other ancillary documents in mergers and acquisitions. Work collaboratively across the organization, including with senior executives, to build consensus and drive projects to completion. Draft and negotiate real estate leasing and purchase and sale agreements. Advisement and contracting for facilities management, physical security, construction projects and corporate aviation. Support legal aspects of securities offerings and other capital markets and treasury activities. Effectively manage outside counsel on a global basis. Must possess a J.D. Degree, and be an active member of the bar (any jurisdiction). Should have 3-5 years of related experience at a top law firm or in-house legal department, specifically in federal securities law, with M&A or capital markets experience a plus.
