Labor and Employment Attorney The candidate will provide legal counsel with a focus on transactions for the business group. Will draft, review, and negotiate proposals, letters of intent, term sheets and conditions, and statements of interest with respect to proposed transactions. Will provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary. Handle labor and employment law matters within the Company, including preparing responses to charges filed with administrative agencies such as the EEOC and providing oversight of employment litigation. Provide legal advice and recommend course of action to resolve labor and employment legal issues in compliance with University policy and applicable laws. Manage outside counsel, interact with other governmental offices, collaborate with University-affiliated organizations in a manner that prioritizes the Company's interests, and coordinate with the Ohio Attorney General on University of Cincinnati legal matters as needed. Supervise or lead a team or unit or significant function within the Human Resources Department. Assist with resolving legal, procedural, or administrative issues in compliance with applicable legal standards. Negotiate, draft, and administer a variety of commercial contracts, licensing agreements, leases, and other legal instruments memorializing the diverse activities of a large dynamic organization. Conduct legal research and provide analysis, written and oral advice, and training as needed to keep the University and the members of the legal team current on laws and regulations affecting assigned areas. Work closely and collaboratively with other members of the Office of General Counsel as a leader or follower, and support colleagues in a manner that improves team cohesion and trust. Communicate, cooperate, and interact comfortably with a diverse community and multiple constituencies, including senior administrators, staff, faculty, trustees, external professionals and vendors. Work effectively and efficiently in a high-pressure environment and respond quickly and appropriately to emergency situations. Exercise excellent judgment and attention to detail, act with the highest degree of honesty and integrity, and demonstrate the utmost discretion. Provides counsel and work as a team with other counsel leaders as necessary within other business units. Close transactions, including sales, acquisitions and joint ventures. Assists with the negotiation of complex acquisitions, sales and funding of those acquisitions and sales. Recommends complex resolutions and workouts of acquisitions Work independently with minimal supervision and take initiative when appropriate. Perform other duties as assigned by the Vice President for Legal Affairs & General Counsel or designee, and perform other related duties based on departmental need. Identifies risks and proposes alternative structure to mitigate risks involved in potential transactions. Drafts transactional documents dealing with joint ventures, supply contracts, acquisitions, financing, and dispositions. Juris Doctorate (JD) from an ABA accredited law school. At least 12 years of experience practicing labor and employment law, including employment litigation. Demonstrated skill set necessary to supervise or lead a team or significant function. Licensed to practice and in good standing with the State of Ohio. Comply with all legal and ethical rules applicable to an attorney licensed and practicing in the State of Ohio. Highest level of legal research and analytical skills, Excellent oral and written communication skills. Exceptional interpersonal skills with the ability to multi-task, prioritize, and collaborate on a team while advising diverse stakeholders in a high-volume environment. Excellent interpersonal, written, and oral communication skills, including ability to work collaboratively and effectively with business clients and other legal department members. Excellent analytical and negotiating skills. Excellent organizational and interpersonal skills, with ability to be flexible and adapt to frequently changing workload and responsibilities. Acute attention to detail. Ability to multi-task. Strong project management skills, well organized, with the ability to thrive in a fast-paced work environment and manage numerous projects simultaneously under deadline pressure. Must have initiative, be able to act decisively, work independently and exercise good judgment.
