Assistant General Counsel International Duties: Responsible for focusing on the international area of law, the international operations and licensing matters within more than 50 countries, including responsibility for international trade and customs, wholesaling, e-commerce, cross-border transactions and legal requirements to do business overseas. Formulate strategic legal direction in keeping with the overall organization mission, with board guidance, provide overall guidance to management, balance legal and business interests to provide advice and solutions to business objectives. Manage complex issues of law, including working with and supervising outside legal experts, as needed. Manage all legal aspects of board-approved strategies. Responsible for managing high risk liability matters. Direct, lead and provide proactive legal advice and counsel regarding international licensing and franchise matters. Analyze, review and provide legal advice regarding international trade, cross-border transactions and legal requirements to do business overseas. Review, create, and finalize agreements in support of the company's international operations, collaborate and provide legal advice to the company's international sales team. Participate in the negotiation, drafting, execution and closing of new projects in a wide variety of agreements, including license, vendor, supplier or services agreements. Review international marketing materials, agreements with company's marketing vendors and clients, and provide advice regarding those materials and contracts. Provide advice on international e-commerce efforts and on select international sourcing activities, including interfacing with finance, accounting, information technology and external subject matter experts, as necessary. Collaborate with other in-house counsel to provide oversight of company's global trademark portfolio and international Intellectual Property (IP) issues, as relating to the company's operations and its development plan. Manage and lead the review of a wide assortment of legal matters and provide advice and counsel to the personnel within the company regarding those matters. Recommend and implement best practices and proactive strategies consistent with legal requirements and emerging trends, in order to minimize liability and promote the company's strategic plan. Collaborate with stakeholders to develop, review, and revise, as required, company policies and procedures with respect to international matters, and recommend changes to policies based on legal developments. Responsible for selecting, managing, and overseeing outside counsel in assigned international matters and within the parameters set by the chief legal officer. Prepare reports for senior and executive management and provide recommendations, as appropriate. As needs develop, may hire, develop, and lead other attorneys and professional legal staff, setting objectives and holding accountability for work product and advice, and may make employment decisions and/or recommendations on hiring, improvement plans, transfers, promotions, corrective actions, terminations, and merit adjustments. Pursue ongoing professional development in current areas of responsibility and in relevant, emerging areas of the law. Conduct legal research and analysis as necessary. May supervise a team of paralegals and/or attorneys. Approximately 10% domestic and international travel required, to Asia, Latin America, and other Ashley locations in the U.S.
Requirements: JD degree (or foreign equivalent degree) and 10 years of work experience as a Lawyer. Must be a member of the Florida bar, or hold Florida authorized house counsel certification, or be eligible for Florida authorized house counsel certification. Must have 5 years of experience practicing law in a private practice environment, and 5 years of experience as in-house counsel. Also, must have work experience with the following: Selecting, managing, and overseeing outside counsel; Managing or supervising legal staff; Counseling, advising, presenting to, and preparing reports for senior management; International trade and third-party licensing, including trademarks and independently owned operating licenses (franchise or equivalent); and Drafting and negotiating international contracts or other international agreements.
