Corporate Legal Counsel Responsibilities: Support Sales and Contracts in managing, negotiating and administering standard and nonstandard contracts for third party software, application services and products, and professional services in support of software sales across the organization. Structure, draft and update current licensing, distribution, channel, technology, commercial and related agreements. Ensure that current agreements are in compliance with policies, practices and procedures and applicable laws and regulations. Assist in Requests for Proposal/Requests for Quote for software and services. Provide legal support, guidance, and risk assessment to stakeholders of obligations and risks. Work with corporate finance, and internal and external legal advisors as necessary. Keep abreast of legal, legislative and regulatory developments and apprise stakeholders in a timely manner and work with them to support compliance. Support General Counsel and Corporate Counsel in other duties as assigned.
Requirements: JD Degree is required. Active state Bar membership in good standing, with 5-7 years of related experience. 5+ years of software licensing and/or technology contract experience is highly preferred. Knowledge of relevant U.S. government regulations and standards regarding government contracts administration, including the Federal Acquisition Regulation (FAR). Familiarity with dispute resolution processes related to government contracts (or related sub-contracts) is preferred. Ability to handle multiple matters, take leadership role on matters assigned, strong written and verbal communications skills, and the ability to interact with people at all levels are required. A professional attitude and keen attention to detail and customer service, as well as excellent organizational skills, are required.
