Senior Counsel - Insurance Regulatory

Senior Counsel - Insurance Regulatory Responsibilities: Coordinate and prepare numerous annual holding company filings for enterprise domestic insurance companies. Provide advice and prepare transactional regulatory filings relating to inter-affiliate transactions. Prepare necessary regulatory filings and other documentation in connection with enterprise M&A activity. Negotiate and draft documentation required for insurance reserve financing transactions, and establish/maintain associated insurance captives. Provide advice concerning the corporate structure of the enterprise and prepare documentation and required regulatory submissions for corporate restructurings.

Qualifications: JD Degree from an accredited law school and be admitted to the New York State (or other appropriate) Bar. 5+ years of transactional and/or regulatory experience at a major law firm and/or in-house legal department, and/or state or federal regulator, reflecting a record of accomplishment. insurance and/or other financial services experience a plus. Exhibit crisp, clear oral and written communication skills; demonstrate the ability to reduce legal issues to straightforward practical analysis and advice. Preferred: Exhibit good business acumen and familiarity with the market and regulatory landscape affecting global financial services companies. Demonstrate persuasion and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues. Command strong drafting, negotiating and analytical skills.
