Corporate/Commercial Associate Counsel Reporting to General Counsel & Chief Compliance Officer, will provide expert, valued advice and counsel to sales teams, business units, and other stakeholders on go-to-market strategy, current and potential legal and commercial issues, industry specific knowledge, and transactional guidance. You should be an excellent negotiator who knows how to keep complex legal negotiations simple and clear, who knows how to facilitate appropriate internal decision-making processes; and who strives to find a mutually agreeable outcome in an efficient but risk-conscious manner. Alignment and dedicated support to leadership directly and working with other various stakeholders (attorneys, contract managers, finance, deal management, business units, etc) to further Axogen's business with our partners/customers. Keep abreast of and proactively address changing regulations, industry and market trends, and technology, and effectively work with a variety of business, finance and legal stakeholders to develop and implement resulting practices that support innovation and growth while maintaining appropriate protections and safeguards for Axogen. Develop various enablement and training materials for Axogen stakeholders, including sales/business units, channels partners and end customers, focusing on the specific industry standards, trends, and developments. Drive and/or assist with various legal department projects that support the legal department goals as well as efforts to develop, implement and enhance processes that improve transaction and contracting velocity and scaling without material increases in risk. Review advertising and marketing materials to ensure that they are in compliance with legal requirements. Will also counsel business partners on a variety of business law issues. Provide expert, valued advice and counsel to Axogen's sales teams, business units, and other stakeholders on go-to-market strategy, current and potential legal and commercial issues, industry specific knowledge, and transactional guidance. Draft, review, and negotiate a broad range of commercial agreements, and assist, manage, and lead other attorneys and contract managers to do the same, including cloud/software-as-a-service, software/IT licensing, professional services, and data privacy.
Requirements: Must have a J.D. degree from an ABA-approved law school and be an active member in good standing of the Bar. 5-7 years of significant corporate and commercial transactional experience, preferably with a national law firm, including experience drafting and negotiating contracts related to, among other things, software and IP licensing, marketing, products, and professional services. In-house experience at a public company is a significant plus. Exposure to and experience with 33 Act and 34 Act and a background in M&A and familiarity with accounting statements and understanding of Regulations FD, S-K, S-X and G preferred. Intellectual Property experience or expertise is preferred. Experience in other areas of in-house counsel expertise, such as employment, ethics and compliance, product support, privacy and security, and M&A is also preferred. Experience with executive compensation and benefits is a plus. Team attitude that no job is too big or too small. Practical and business-minded with an ability to present a business partner with real-world, pragmatic advice.
