Associate General Counsel - Corporate & Securities The candidate report to the General Counsel (GC) and requires strong experience working with public companies and securities law compliance. This position is expected to be a key business partner and to contribute to the success of the Company by combining both legal and business expertise and understanding of Shift's operations and strategic goals. Must be able to work effectively across internal legal, outside counsel and non-legal functions. Provide legal and compliance support on all securities and corporate finance related matters. Partner with the finance department to ensure compliance with all SEC regulations. Prepare the Company's public disclosure documents, including SEC periodic reports such as the 10-K, 10-Q, 8-K, annual proxy statements and Section 16 reports/filings. Play a key role in all corporate capital markets and M&A transactions from a securities perspective. Specifically, support strategic transactions, including conducting/facilitating due diligence, drafting corporate documentation, advising on SEC disclosure filings and coordinating closing matters. Develop and assist with the implementation of corporate compliance programs and policies. Manage the Company's Insider Trading Policy and assist with pre-clearance requests. Assist the GC in providing oversight and counsel to management regarding corporate regulatory compliance in all areas of the business. Provide legal advice and support in a wide array of practice areas as needed, including commercial transactions and regulatory compliance. Draft, review and negotiate commercial transactions in the ordinary course of business. Partner with the finance team to manage all equity administration matters. Respond to equity inquiries from shareholders and manage the Company's Insider Trading Policy and assist with pre-clearance requests. Keep informed of legal and industry-specific regulatory changes. Should have 6-10 years of relevant experience in securities and corporate governance. Experience in the corporate securities practice of a large firm or publicly traded company is required. Prior in-house experience is preferred. Must have Bachelor's degree plus JD from an accredited law school; excellent academic credentials. Should have detailed understanding of applicable securities laws; significant experience advising clients regarding compliance. Must have significant experience preparing SEC filings for public companies, including an understanding of relevant SEC rules and regulations. Should have experience managing complex corporate transactions and reporting requirements. Experience working in the automotive dealer industry is a big plus. should be active membership in at least one state bar - CA, NY or TX are preferred.
