Corporate Counsel The candidate will prepare SEC filings, including current and periodic reports, proxy statements, registration statements, Section 16 and other securities-law filings; review press releases, blogs and event presentations; and provide SEC compliance training. Will provide legal support for stock plan administration activities, including international equity compliance, executive compensation and 401(k) and non-qualified deferred compensation plan matters. Develop and maintain various corporate governance practices and policies, including compliance with NYSE listing requirements, and deliver training programs. Assist with projects from other groups in the legal department as requested. Assist with special projects as requested.
The candidate should have a JD degree; California Bar membership. Must have 6-8 years of relevant experience at a nationally recognized law firm or in-house. Must have excellent written and verbal communication and interpersonal skills. Must have superior organizational skills and be able to manage numerous projects with absolute deadlines. Must be able to be effective in a fast-paced environment. Must be able to work independently and exercise good judgment.
