Corporate Counsel Transactions The candidate will be reporting to the Regional Counsel, while working closely with multiple Associate General Counsels, VP of Legal, Regional Presidents and the rest of the Regions management team, the Corporate Counsel Transactions is primarily responsible for timely and accurate review and analysis of contractual language for various agreements between McCarthy and other entities including owners, subcontractors, suppliers, designers and consultants, as well as nondisclosure agreements, real property and equipment leases, corporate acquisition agreements, joint venture agreements, lease leaseback agreements, lender documents, project labor agreements, and trademark/intellectual property registration, and providing support for negotiation of those contracts. The Corporate Counsel Transactions will also be responsible for providing legal input on construction operations-related issues, and providing other assistance and support to the Legal Department on other matters as needed. Juris Doctorate from an ABA accredited law school. Licensed to practice law in one of the following states: Missouri, Texas, Georgia, California, New York or Arizona. Minimum of 5-10 years experience in construction and related transactional law. In-depth knowledge of construction contracts, including significant experience reviewing, analyzing and negotiating various construction contract forms, together with knowledge of construction claim issues. Ability to communicate with other members of the legal department articulately, concisely, and with well-reasoned opinions. Ability to communicate complex legal concepts to non-attorney McCarthy team members in a concise, yet thorough, manner. Excellent verbal and written communication skills. Strong interpersonal and diplomatic skills. Proven ability to handle multiple projects, prioritize, and meet deadlines. Meticulous attention to detail and quality of work product. Ability to work independently and determine creative solutions. Versatility, flexibility, and willingness to work within constantly changing priorities with enthusiasm.
