Legal Counsel - Equipment Finance Responsibilities: Transactional support, including analysis and advice on structural and risk issues; drafting, tailoring and negotiating bank lease and loan documentation (including specialized financial covenants) for specific transactions; creating and negotiating documentation for non-standard structures; reviewing and negotiating agreements with customer and customer's outside counsel; advising on responses to Requests for Proposal. Portfolio services support, including analysis, advice and preparation of amendments and waivers; advising, documenting and negotiating troubled credit situations (in conjunction with bankruptcy and workout Legal). Syndications support, including drafting, review and negotiation of standard and non-standard assignment/purchase agreements. Advising clients on regulatory and compliance policies and issues; conducting legal research; staying current on trends and developments in the equipment finance industry specifically and secured lending generally. Identifying and mitigating risks (legal, operational, reputational and other). Supporting, managing and maintaining outside counsel relationships; coordinating engagement of outside counsel. Creating, revising and maintaining standard EF form documentation. Periodic projects related to new product offerings, regulatory matters and other business initiatives. Providing training for underwriters, bankers, analysts, associates, operational staff, and customer support staff on legal issues.
Qualifications: JD Degree from top law school and good standing with FL/NY Bar/s. Must be licensed to practice law and a member in good standing in the jurisdiction where the role will be located prior to commencement of employment or otherwise in compliance with the in-house counsel registration rules of such jurisdiction. 5-7 years of relevant experience. The following qualifications would be a plus: general knowledge of credit, secured lending and documentation issues; knowledge of legal and regulatory requirements, issues and documentation for leasing and equipment finance transactions knowledge of Federal, State and/or municipal leasing. Research, writing and oral communication skills, with ability to listen and drive results in a team setting. Collegial; able to build and maintain good relationships with clients and colleagues. Effective and efficient problem solver with necessary organizational skills and the ability to prioritize and multi-task. Self-starter with analytical and collaborative skills; able to deliver effective results under tight deadlines.
