Capital Markets Counsel III - Equity Finance The candidate will be reporting to the Managing Counsel of the team covering Equity Finance, Equity Derivatives, Structured Products, and Netting in the Global Capital Markets Division of the Legal Department. Providing legal advice and counsel to the Equity Finance business, NA, and its affiliates. Developing strong working relationships with the Equity Finance business, with an understanding of its needs and strategic direction. Working closely with senior attorneys to evaluate the legal and commercial impact of documentation terms and assist with platform development and expansion. Providing regulatory, documentation, and transactional support related to margin financing products offered to clients of the Equity Finance business. Representing the company on transactions and advocacy efforts inside and outside the organization. Reading, writing, analyzing, and interpreting complex documents. Providing support when needed on matters outside areas of primary coverage, including enterprise initiatives. Managing outside counsel support and legal expenses. Following Legal Department policies and procedures in carrying out support and matter management responsibilities.
The candidate should have 5+ years of legal experience with a major law firm, securities regulatory agency, or in-house law department; including 3+ years of representing firms in capital markets and investment banking activities. Active State Bar membership is required. Experience building partnerships and consulting effectively with leadership a plus. Project management experience an asset. Proven success in building strong strategic alliances with clients in a line of business a plus. Excellent verbal, written, and interpersonal communication skills preferred along with strong organizational, multi-tasking, and prioritizing skills. Strong analytical skills with high attention to detail and accuracy desired. Outstanding problem solving and decision-making skills required along with the ability to execute in a fast-paced, high-demand, environment while balancing multiple priorities. Should preferably demonstrate the ability to provide research, counsel, and guidance on complex legal questions or inquiries, analyze legal issues in substantive law in the area of practice, provide effective advice to clients on routine legal matters.
