Corporate Counsel Contracts - Procurement. Sales, and ECA The candidate will work with all areas of the company and will have ample opportunity to make a significant impact on business decisions. Responsible for commercial contracts (sales and procurement), employment agreements, and supporting the General Counsel and Management Team with day-to-day legal and compliance issues. Assist business units with sales of hybrid internet infrastructure solutions including colocation, cloud, and network services. Responsibilities include support to the Management Team with respect to best legal practices and risk management related to commercial issues, data security, and privacy concerns. Engage in cross-functional projects with Finance, Human Resources, Real Estate, and IT organizations. Will work on sales contracts, vendor contracts, Litigation, Risk Management, and Human Resources. Will work with business units and sales teams to negotiate sales agreements, business units, and procurement organization to negotiate vendor agreements, assist General Counsel on litigation matters and coordination with outside legal counsel; and review and gather documents in response to standard discovery requests and court subpoenas. Work with business units to minimize risk in indemnification issues, as well as compliance, privacy, and data security areas. Work with HR and outside counsel on employment covenant agreements, offer letters and executive employment agreements. The candidate should have a JD from an accredited law school with 3-5 years of experience; former in-house experience at a high-tech company is a plus. Superior client service skills, internally and externally required with the ability to multi-task and manage multiple projects and deadlines, advise but defer to business decisions, when appropriate, and interface with all business units and unite them if needed. Must have a positive attitude and a sense of humor.
