Real Estate Attorney The candidate will be responsible for providing a wide range of legal services and advice to the Company, its subsidiaries, and affiliates on a wide range of real property and financing matters. This role is responsible for managing multiple complex legal projects independently while working with outside counsel and advising Team Members at all levels within the organization with a focus on real estate matters. Must have 5+ Years combined full-time experience in commercial real estate and construction law (with an emphasis on retail) in both law firm and in-house environments. Experience Desired: Environmental compliance, construction and development projects, zoning and land use matters is desired. Prior mergers and acquisitions experience a plus. Must have Juris Doctorate from accredited law school. Current bar membership in at least one US state is required. Provide advice and counsel to business leaders and in house commercial real estate, construction, environmental and facilities management professionals on a broad range of real estate, construction, environmental and facilities matters and related litigation. Draft and negotiate leases, renewals, operating and easement agreements and all related agreements to expedite the transaction process through execution. Draft, improve and update standard real estate, construction, and facilities management forms. Interact with store design and construction to ensure all applicable documentation is accurate for landlord and/or tenant work. Draft and negotiate construction and facilities management agreements and advise on mechanics lien documentation and issues. Draft and negotiate estoppels, SNDAs, and consents under existing leases. Review and negotiate all eminent domain project drawings and agreements. Draft and negotiate all agreements with independent retailers, including supply agreements, subleases, acquisition agreements, financing agreements and UCC filings. Work directly with other attorneys, paralegals, and support staff in providing legal advice and risk mitigation across a broad range of real estate, construction, facilities and independent retailer legal matters as they arise. Provide legal advice, training, and service to business leaders and real estate, construction and facilities management professionals on relevant policies, practices and compliance-related matters. Utilize knowledge of the law and experience to analyze facts and situations to effectively assess risk and make recommendations that are in the best interest of the Company. Partner with outside counsel, if necessary, when handling some real estate matters, including real estate related litigation and environmental matters. Monitor legislative developments to ensure continued compliance with all laws and regulations related to the area of focus. Continuously develop understanding of legal risks and advise business leaders and stakeholders accurately of legal and other risks associated with proposed activities. Stay current with all legal trends, regulations and laws.
