Corporate Contracts Attorney The candidate will identifying both legal and business issues and providing guidance to sales and business units. Negotiating directly with customers and leading contract negotiations for business units to ensure internal alignment, compliance with corporate risk directives, and policies and procedures requiring judgment, interpretation and decision making skills;. Creating contract summaries and deliverable spreadsheets and maintaining contract provisions libraries. Participating in the development and implementation of procedures for contract management and administration in compliance with corporate and department policies Supporting acquisitions including contractual due diligence, negotiation, re-assignment of existing contracts. Providing training to the sales, business units and operational personnel regarding corporate contracting practices and policies. Undertaking legal research, coordinating with other corporate counsel.; Staying current with laws, rulings and regulations applicable to the company and industry. 3-5 years of commercial transaction experience. Ability to interpret and comprehend complex legal documents and ability to convey complex legal issues in clear and concise business terms. Experience drafting and negotiating contracts. Experience in managing risk while balancing the need to grow and sustain business relationships. Knowledge and understanding of working with customers, suppliers, distributors, vendors, subcontractors. Experience supporting sales, procurement, design, and manufacturing. Exceptional organizational skills. Ability to prioritize workflow, work independently and efficiently. Strong and effective professional communication skills, both written and verbal. Strong attention to detail and follow-through. Experience advising all levels of management and non-management employees. J.D. degree from an A.B.A. accredited law school and member in good standing with a state bar. Excellent written and verbal communication skills. Advanced Microsoft Office skills are required. Must have 3-5 years contract negotiation experience who is a team player with demonstrated flexibility and initiative while analyzing, drafting, negotiating, and managing a wide range of commercial agreements in a highly collaborative and matrixed decision-making environment. This position requires strong business acumen and experience in the area of commercial transactions, contract management and contract law, especially UCC, and provisions related to warranties, limitation of liability, indemnification, and compliance. Experience in the semiconductor industry a plus.
