Contracts Counsel - Contracts Manager The candidate will advise project teams involved in design-build projects, either in a contracting role, design role, or both, as to appropriate protective contractual frameworks and provisions in a variety of settings. Will draft, review, and advice on contract templates, template updates, customer contracts, and non-disclosure agreements. Review requests for proposals (RFPs) and contracts, and provide contract risk assessments including contract exceptions and risk mitigations. Be responsible for careful and logical development and/or review of contractual documents including NDAs, Teaming, Joint Venture, Prime Agreements, Subcontract, and Services agreements and any associated Statements of Work. Maintain close working relationships with the applicable leadership team, sales and delivery managers, internal Legal Counsel as well as other internal core services groups necessary to achieve comprehensive review and risk assessment (security, tax, insurance, etc.). Conduct directed legal and compliance research as requested. Serve as primary contact to address questions related to existing contracts and contract processes. Juggle multiple projects simultaneously on a time-sensitive basis. Work closely with the Contracts Manager lead and other members of the Legal Department to stay informed of significant developments in company expectations for contracts, seeking advice and assistance where appropriate.
The candidate should have 8 years working in a law firm or in an in-house legal department as a contracts manager or attorney. Must have substantial knowledge and experience with design-build projects and progressive design-build projects, including working knowledge of industry-standard contract forms (e.g., DBIA, EJCDC). Experience with design-build projects in the water and wastewater industry, with a preference for projects located in the East or Southeast regions of the United States, is required. Must have a Bachelor's degree or equivalent years of related experience Senior level experience negotiating contracts with a pragmatic, flexible negotiation style based on sound business acumen is required. A solid understanding of legal concepts (e.g., liability, indemnification, acceptance, warranties, software licensing, intellectual property rights, etc.) and state and local contracting practices is needed. Proficiency with Excel and Microsoft Word including redlining, and other contracts lifecycle management technology is required.
