Corporate Counsel Duties: Draft, review, and negotiate national underwriting agreements; serve as primary liaison with underwriting partners. Establish and maintain entity licensing, filing rates and annual filings, responding to regulator exams and inquiries. Serve as a resource to provide legal counsel and guidance on various business topics and transactions involving escrow closing obligations, insurance regulation, title insurance principles, title exceptions and curative cases, real estate issues and related matters. Interface with parties to a closing transaction when necessary, including consumers, outside attorneys, lenders, and real estate agents. Research legal issues and matters, as directed, and prepare summaries regarding the same. Manage all aspects of litigation and pre-litigation matters in an efficient, practical and cost-effective manner. Advise stakeholders on legal trends, developing areas of the law, industry trends and related risks that may impact the Company's operations and/or services. Support risk management initiatives, including policy review and updates, regulatory change management, and training needs. Provide legal advice on risks, requirements, and strategy related to Company initiatives. Assist with corporate governance matters, including the preparation and maintenance of business entity documents, company formation, preparing resolutions and consents, and managing board meetings.
Qualifications: JD Degree from accredited law school. Admission, in good standing, to practice in at least one U.S. state. 5+ years experience in law firm or corporate setting, working on title, escrow and real estate matters. Outstanding drafting, writing, and verbal communication skills. Flexibility to adapt to change and take initiative. Highly effective communication style, with ability to translate complex legal issues into actionable recommendations that deliver business value. Positive attitude with willingness to embrace new challenges. Self-starter, results-oriented, driven to meet and exceed goals. Excellent interpersonal skills, and the ability to build consensus and work effectively with multiple, diverse, cross-functional, cross-business stakeholders. Preferred Qualifications: Experience in implementing compliance or risk management program. Generalist experience, including real estate, litigation and compliance, or the willingness to learn other such substantive areas rapidly. Familiarity with ALTA Best Practices, RESPA, GLBA, RON, CCPA and other state privacy laws a plus.
