Corporate M&A Attorney The candidate will support firm's regional and global business units by acting as firm's internal legal lead on U.S. and Canada acquisitions and investments. Will manage external legal counsel engaged to support M&A and investment activities, including ex-U.S. counsel engaged in cross-border deals. Work closely with firm legal and business development teams outside the U.S. on global M&A transactions and related projects. Take a leadership role in providing written guidance and training on M&A-related issues to global legal team. Interact frequently with General Counsel, business development leads and executive team members.
The ideal candidate must have a JD degree preferably from a Tier 1 law school, as well as 4-7 years of experience working with Am Law 100 law firms focused on merger and acquisition transactions. Must be a licensed member in good standing of one State Bar association. Should have experience with the full range of equity and asset acquisitions, mergers, divestitures and other sophisticated transactions. Cross border experience, especially with transactions involving the UK, Europe, India and China, is preferred. Must have experience acting as the lead/primary attorney in M&A transactions as well as managing and conducting legal due diligence. Experience with joint ventures, equity-based financing and intellectual property licensing is a plus. Should have a solid background in corporate governance. Should have excellent deal management capability, strong written and verbal communication skills, good judgement, pragmatism and time management.
