Commercial Contracts Attorney The candidate will draft, negotiate and interpret commercial contracts between RSNA and its customers and resellers, including NDAs, customer sales agreements, reseller agreements, master product purchase agreements. Write, analyze and respond to requests for proposal or quote. Advise internal stakeholders on contractual, operational and legal risks, and options for mitigation. Negotiate customer orders under existing framework agreements and SOWs in support of RFQ/RFP responses and existing master agreements. Ensure compliance with Global Directives, corporate policies, contract provisions and regulatory requirements. Prepare and review business correspondence with customers and coordinate with functional departments to ensure contract performance. Maintain accurate and complete contract files. Collaborate with contract team to ensure accuracy and completeness of work from a technical perspective. Support the legal team's continuous improvement efforts through the development and refinement of playbooks, policies, templates, and processes; coordinate training and awareness activities to implement and improve adoption of processes and best practices. Research, analyze and provide an executive summary on a broad range of complex legal, contractual and regulatory matters to support the company's business initiatives. Provide accurate and timely advice to a diverse, cross-functional group of internal clients. Work with Trade Compliance department regarding end-user certificates and other export administration tasks. Use of software platforms (i.e., Microsoft Office, SharePoint, Deltek, SAP) as needed to perform tasks. Juris Doctor degree and bar admission to any State. A minimum of 5+ years relevant experience, preferably working with a large law firm and/or in-house. Ability to work in a conscientious, consistent and thorough manner with attention to detail and accuracy. Negotiator who seeks to resolve different perspectives or matters of dispute by discovering shared interests and finding mutually acceptable solutions. Takes initiative to deal with situations and issues proactively and persistently, seizing opportunities that arise. Able to adapt in order to work effectively in ambiguous or changing situations, and with diverse individuals and groups. Listens and communicates openly, honestly, and respectfully with different audiences, promoting dialogue and building consensus Ability to solve problems analytically that leads to creative and pragmatic solutions to business challenges. High integrity with strong business acumen and good judgment. Ability to work well in a team environment and independently. U.S. person capable of receiving export-controlled data. Preferred - Uniform Commercial Code and U.S. export regulations.
