General Counsel and Chief Compliance Officer The candidate plays a role of a key member of the executive team and manages the full suite of legal, regulatory, and compliance responsibilities for the Company. Reports to President and will have high visibility to key company stakeholders including investors, lenders, vendors, and the Company's Board. Advises the executive team and senior management on all company legal matters, leading the charge to maximize compliance efforts and mitigate legal risk within the context of the Company's strategic and financial objectives. Partners with leaders across the business across a wide range of commercial initiatives, including financings, contract negotiation, sales partner/vendor reviews, new product considerations, etc. Serves as the internal company expert on all federal and state regulatory qualifications pertinent to small business lending, including licensing and disclosure requirements, commercial lending limits, information security and privacy considerations. Remains current on updated relevant legislative and regulatory rulings, briefing the executive team on any material changes and the potential impact to the business. Maintains and updates the Company's compliance program, developing and maintaining compliance best practices and ensuring these practices are employed across the business with associated internal policies and procedures, training, and documentation. Leads the process for assessing appropriate collections measures for non-performing customers consistent with internal best practices and applicable law, including litigation strategy and filing when appropriate. Works with the internal collections team and manages relationships with outside collections firms, optimizing cost-effective usage of in-house vs. outside personnel.
The candidate should have a JD Degree from an accredited law school and an active member of the NY state bar in good standing. Must have 10+ years of experience managing the legal function in a fast-paced and dynamic organization. Should have superior managerial, interpersonal, and written/verbal communication skills, with impeccable ethics and integrity absolute musts. Must have exceptional business and legal acumen; ability to identify and diagnose legal problems and articulate creative and practical solutions and alternatives. Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions is a prerequisite.
